Welcome to Leslie's. The LesliesPool.com website and mobile application shall collectively be referred to as the "Site". By using the Site you unconditionally agree to the following terms and conditions (hereinafter, the "Terms of Use"). These Terms of Use are important and affect your legal rights, so please read them carefully.

PLEASE READ THE FOLLOWING TERMS OF USE, INCLUDING THE DISCLAIMER BELOW CAREFULLY BEFORE USING THE SITE, THESE TERMS OF USE ALSO INCLUDE A CLASS ACTION WAIVER AND REQUIRE BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES.

If you do not agree to every provision of the Terms of Use, you may not access or use the Site.

By accepting these Terms of Use, you represent that you are 18 years of age or older and that, if you have accepted these Terms of Use on behalf of any person or entity, you represent that you have legal authority to do so and that such person or entity agrees to be responsible to Leslie's if you or such person or entity violates these Terms of Use.

By accessing or using the Rewards Program, you represent and warrant that you have not been previously suspended or removed from the Rewards Program, or engaged in any activity that could result in suspension or removal from the Rewards Program.

Leslie's Poolmart, Inc. d/b/a Leslie's Pool Supplies Service and Repair ("Leslie's") reserves the right, at any time, to modify, alter, or update these Terms of Use, and you agree to be bound by such modifications, alterations, or updates. By continuing to access or use the Rewards Program, you confirm your acceptance of the revised Terms of Use and all the terms incorporated herein by reference. It is recommended that you review these Terms of Use whenever you visit the Site.

In order to access and use certain areas or features of the Site, you may need to provide certain information and/or answer certain questions. Each registration is for a single user only. You agree to (a) provide accurate, current and complete information, (b) maintain and promptly update, as necessary, your information, (c) be responsible for the acts or omissions of any third party who has authority to access or use the Site on your behalf, and (d) immediately notify Leslie's if you discover or otherwise suspect any security breaches related to the Site. If you provide information that is untrue, inaccurate, not current or incomplete, we may suspend and/or terminate any and all current or future use of the Site.

By providing information and/or answering questions, you also consent to receive electronic communications from Leslie's (e.g., via email or by posting notices to the Site). These communications may include notices and are part of your relationship with us. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including, but not limited to, that such communications be in writing. You should maintain copies of electronic communications from Leslie's by printing a paper copy or saving an electronic copy. We may also send you promotional communications via email, including, but not limited to, newsletters, special offers, surveys and other news and information we think will be of interest to you. You may opt out of receiving these promotional emails at any time by following the unsubscribe instructions provided therein.

Access to your account on the Site is accomplished through the use of an email address and a password, which you will create. Your password should be kept strictly confidential to prevent unauthorized use. You agree to notify Leslie's promptly of any unauthorized use of your password and you will remain liable for any use of the Site until you notify Leslie's of the unauthorized use of your password. When you create an account on the Site, we will automatically enroll you in Leslie's Rewards, which is a free program that allows you to earn points towards rewards, which are certificates for discounts on future purchases at Leslie's retail stores and on the Site.

Unless otherwise indicated in writing by us, the Site and all content and other materials contained therein, including, without limitation, the Leslie's logo and all designs, text, graphics, pictures, information, data, software, User Content (as defined in Section 6), other files and the selection and arrangement thereof (collectively, "Content") are the property of Leslie's or our licensors or users, as applicable, and are protected by U.S. and international copyright and other laws.

Subject to these Terms, you are hereby granted a personal, non-exclusive, non-transferable, non-sublicensable license to access and make personal, non-commercial use of the Site and Content. All rights not expressly granted herein are reserved. You do not acquire any ownership interest in the Site or Content under these Terms, or any other rights thereto other than to use the Site in accordance with the license granted, and subject to all terms, conditions and restrictions of these Terms.

However, such license is subject to these Terms and does not include any right to, and you shall not, directly or indirectly: (a) sell, resell or use commercially the Site or Content, (b) distribute, publicly perform or publicly display any Content, (c) modify or otherwise make any derivative uses of the Site or Content, or any portion thereof, (d) use any data mining, robots or similar data gathering or extraction methods, (e) download (other than page caching) any portion of the Site or Content, except as expressly permitted by us, (f) use the Site to stalk, threaten, or otherwise violate the rights of others, including without limitation others' privacy rights or rights of publicity; (g) interfere with the Site or servers or networks used in connection with the Site; or (h) use the Site or Content other than for their intended purposes.

Any use of the Site or Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including, without limitation, copyright and trademark laws and applicable communications regulations and statutes. Unless explicitly stated by us, nothing in these Terms shall be construed as conferring any right or license to any patent, trademark, copyright or other proprietary rights of Leslie's or any third party, whether by estoppel, implication or otherwise. This license is revocable at any time.

You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Content and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Content.

THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS CONTAINED IN THE SITE, INCLUDING, WITHOUT LIMITATION, TEXT, GRAPHICS, AND LINKS, ARE PROVIDED ON AN "AS IS" BASIS WITH NO WARRANTY, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LESLIE'S DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO SUCH INFORMATION, SERVICES, PRODUCTS, AND MATERIALS, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL ELEMENTS, AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. LESLIE'S DOES NOT WARRANTY THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED OR ERROR FREE. IN ADDITION, LESLIE'S DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION ACCESSIBLE VIA THIS SITE IS ACCURATE, COMPLETE OR CURRENT. PRICE AND AVAILABILITY INFORMATION IS SUBJECT TO CHANGE WITHOUT NOTICE. NOTHING IN THIS SECTION LIMITS THE TERMS OF ANY PRODUCT WARRANTY OFFERED BY THE MANUFACTURER OF SUCH PRODUCT THAT IS SOLD TO USE THROUGH THE SITE.

Leslie's often obtains item photographs from third party vendors and/or manufacturers. We do not investigate to determine if information is accurate nor can we provide assurance that all data is free of typographical errors. We cannot guarantee information displayed on the Site to be 100% accurate.

Certain activities provided via the Site may be covered by U.S. Patent 5,930,474.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LESLIE'S OR ITS SUBSIDIARIES, AFFILIATED COMPANIES, EMPLOYEES, OFFICERS, DIRECTORS OR REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, COVER, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL (INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE, INCOME OR PROFITS, LOSS OF USE OR DATA, LOSS OR DIMINUTION IN VALUE OF ASSETS OR SECURITIES, OR DAMAGES FOR BUSINESS INTERRUPTION) DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF LESLIE'S HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE, OR ANY OTHER THEORY, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE SITE, OR ANY INFORMATION OR MATERIALS PROVIDED ON THE SITE OR THE ORDER, RECEIPT OR USE OF ANY PRODUCT OR SERVICE, OR OTHERWISE RELATED TO THESE TERMS (INCLUDING, BUT NOT LIMITED TO, ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE ON ANY INFORMATION OBTAINED FROM LESLIE'S, OR FROM EVENTS BEYOND LESLIE'S'S REASONABLE CONTROL, SUCH AS REWARDS PROGRAM INTERRUPTIONS, DELETIONS OF FILES OR EMAILS, ERRORS OR OMISSIONS, DEFECTS, BUGS, VIRUSES, TROJAN HORSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO LESLIE'S RECORDS, PROGRAMS OR SYSTEMS). LESLIE'S IS NOT LIABLE FOR ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY USER. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, OR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THIS IS A COMPREHENSIVE LIMITATION OF LIABILITY THAT APPLIES TO ALL DAMAGES OF ANY KIND, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY AND/OR CLAIMS OF THIRD PARTIES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF LESLIE'S ARISING OUT OF OR IN ANY WAY RELATED TO THE SITE EXCEED THE AMOUNT PAID TO LESLIE'S FOR ANY PRODUCTS OR SERVICES IN THE NINETY (90) DAYS PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IN THE EVENT YOUR REMEDIES HEREUNDER FAIL OF THEIR ESSENTIAL PURPOSE, AND THE FOREGOING SHALL CONSTITUTE LESLIE'S'S SOLE LIABILITY AND OBLIGATION IN RESPECT HEREOF, REGARDLESS OF THE FORM OF ACTION, WHETHER BASED IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, SIMPLE NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), OR ANY OTHER LEGAL OR EQUITABLE THEORY.

IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE YOUR RIGHTS UNDER CALIFORNIA CIVIL CODE 1542, WHICH STATES "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."

Any content submitted to the Site, including all reviews, comments, communications and the like (herein known as "Comments"), become the property of Leslie's upon submission. By submitting the Comments, you acknowledge your legal rights to submit such information and agree to the assignment to Leslie's of all rights, titles and interest both in the United States and Internationally for all Copyrightable and intellectual properties in the Comments.

Once the Comments are submitted, Leslie's may use the Comments in any fashion it deems appropriate. By using the Comments, Leslie's is under no obligation to maintain any Comments in confidence, to compensate for any Comments, or to respond to the authors Comments. Further, you agree to not hold Leslie's liable for any costs and/or damage caused from instructions or recommendations from comments. Leslie's recommends any work be performed by a licensed professional and that product label directions always be followed. You agree that any Comments submitted by you to the Site will not violate the preceding sentence or any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s), and will not cause injury to any person or entity. You further agree that all Comments submitted by you to the Site will not contain libelous or otherwise unlawful, threatening, abusive or obscene material, or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of "SPAM".

Further, Leslie's reserves the right, though not the duty, to monitor and/or edit or remove any Comments submitted to the Site. You grant Leslie's the right to use your name (or alias), supplied at your submission in connection with any Comments. Since we may desire to respond on some Comments, you agree not to supply a false email address, impersonate any person or entity, or otherwise provide misleading information as to the origin of any Comments you submit.

PLEASE READ THE FOLLOWING SECTION CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES AND CLAIMS WITH LESLIE'S AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

By using the Site, you hereby agree that all claims relating to your access or use of the Site, including all disputes arising out of, or related to any products or services purchase through the Site, will be resolved entirely through binding individual arbitration, rather than in court. You may assert individual claims in small claims court if such claim is within such small claims court's authority. The Federal Arbitration Act and federal arbitration law apply to this agreement.

BY AGREEING TO ARBITRATION, YOU UNDERSTAND THAT YOU ARE WAIVING YOUR RIGHT TO SUE OR GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS UNDER THIS AGREEMENT. THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN AAA, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF. RIGHTS THAT YOU OR LESLIE'S MAY HAVE IN COURT MAY NOT BE AVAILABLE IN ARBITRATION.

To begin an arbitration proceeding, you must send a demand to the American Arbitration Association describing your claim and serve a copy of the demand on Leslie's registered agent: Corporation Service Company, 251 Little Falls Drive, Wilmington, DE 19808. The arbitration will be conducted by AAA under its rules, including AAA's Supplementary Procedures for Consumer-Related Disputes. You can contact AAA to find out more information on how to commence an arbitration proceeding. Payment of all filing, administration and arbitrator fees will be governed by AAA applicable rules. Leslie's will reimburse those fees for claims totaling less than $10,000, unless the arbitrator determines your claims are frivolous. Likewise, Leslie's will not seek attorneys' fees and costs in arbitration unless the arbitrator determine the claims are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.

We each agree to bring any dispute in arbitration on an individual basis only, and not on a class, consolidated, representative or collective action basis. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial or to participate in a class action against the other. In addition, we both agree that we each may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

MEMBERSHIP ELIGIBILITY

• No purchase is necessary to enroll in Leslie's Rewards.
• An email address is required for membership in order to receive notifications and in order to log into your Leslie's Rewards Account.
• Member must be 16 years of age or older to participate

BENEFITS

• Rewards Points will be accrued at the rate of one (1) Reward Point per $1.00 spent at any Leslie's store or on lesliespool.com, excluding tax, shipping and coupons.
• Each accrual of 200 Reward Points is equal to a reward of $5.00 off a purchase at a Leslie's store valid for 60 days after the date of issue.
• At each accrual of 200 Reward Points, a reward will be emailed to the Leslie's Rewards Member (unless the Member opts out of such notification); the Member will also be able to access and print the reward at www.lesliespool.com/rewards.htm.

GENERAL TERMS

• Reward Points are based on the Member's cumulative Leslie's Reward Account spending in any Leslie's store or on lesliespool.com.
• Point accumulation can be through one purchase or multiple purchases.
• In order to associate a Leslie's Rewards Account to a Leslie's store transaction and ensure Reward Points are received for the purchase, a Member must ensure to identify themselves to the sales associate via the email address the Member has associated with his/her Leslie's Reward Account.
• Member is solely responsible for maintaining accurate and updated information online at www.lesliespool.com/rewards.htm.
• If a Member requests termination or deletion of the Member's account or information, the Member will lose the rewards associated with the account.
• Leslie's rewards are not assignable, saleable or redeemable for cash, other than as stated herein.
• Leslie's is not responsible for rewards not received as a result of Member's failure to provide an accurate email address and/or to update Member's information.
• Leslie's Rewards is continuous; no subsequent registration is required.
• Leslie's maintains the right to terminate any rewards account or change rules at any time.
• Rewards initially earned on an item which is returned will be deducted in the period of the return. Returns may cause a negative Rewards Points balance.
• Rewards will expire once used or after 60 days of being issued. Rewards cannot be credited back on returned items.
• Each reward that the member is qualified for can be printed at www.lesliespool.com/rewards.htm at any time prior to that Rewards' expiration date.
• Commercial customers are not eligible to participate.

ACCRUAL RULES

• Member is solely responsible for all federal, state and local taxes, where applicable.
• Reward Points are earned on all eligible transactions completed at any Leslie's store or online at lesliespool.com.
• Reward Points can be accrued through one purchase or multiple purchases made over the course of the program.
• Gift Certificate purchases are not eligible to be applied towards Reward Points.
• If a Leslie's Reward Account is inactive for over 24 months, the point balance will be reset to zero (0). Inactive is defined as not having any purchase activity posted to the Leslie's Rewards member number associated with the account.
• If a Member believes his or her eligible purchase was incorrectly applied toward earning Reward Points, they should fill out a customer care request by visiting www.lesliespool.com/rewards.htm, or contact Leslie's Rewards Customer Care Team at 888.251.1051.
• Customer care requests must be received by Leslie's Rewards Customer Care Team within 14 days from the date of the purchase.
• Written customer care requests should include the Member's name, email address and daytime phone. Additional information may be necessary to process requests.
• Failure to supply the requested documentation may result in denial of Reward Points.
• Reward Points may also be earned for engaging in non-purchase behavior online, such as completing a Member profile or answering a survey. Rewards Point increments can vary at Leslie's discretion and will be communicated through a variety of channels such as online, print or in-store advertising.

REWARD ISSUANCE AND REDEMPTION

• Rewards can only be used for in-store purchases.
• In the event a total purchase is less than the Leslie's reward, the Member will not receive any cash back or store credit for the reward and the remainder of the reward surpassing the purchase total will be forfeited.
• If a return is made on a purchase where a reward was applied, the return will be credited as the purchase price less the discount, and the discount will be forfeited.
• Leslie's rewards cannot be redeemed in full or in part for cash, gift certificates or store credit. Leslie's rewards hold no cash value.
• Leslie's is not responsible for lost or stolen rewards. Members can reprint non-expired, unredeemed rewards on the member portal at www.lesliespool.com/rewards.htm.
• Rewards can be redeemed in any Leslie's retail stores.
• Rewards will be applied to all in-store purchases at the point of sale after any other coupons/discounts have been applied. Some exclusions apply. See store associates or printed reward for details.
• All rewards expire within 60 days of being issued.
• If account is inactive for 24 months, the point balance will be reset to zero (0). Inactive is defined as not having any purchase activity posted to the Leslie's Rewards member number associated with the account.

CANCELLATION AND TERMINATION POLICY

• Leslie's may terminate or modify Leslie's Rewards at any time.
• Upon termination of the Program, Member forfeits any rewards.
• Repeated return of merchandise as part of this Program shall result in termination of Member's Reward account if in Leslie's sole opinion the behavior is determined to be fraudulent.

NOTICE AND MODIFICATION OF PROGRAM POLICY

• Leslie's reserves the right to end or modify Leslie's Rewards at any time without notice.
• Terms and Conditions for the Program will be posted on http://www.lesliespool.com/terms.htm.
• Changes to the Program terms and conditions will be on http://www.lesliespool.com/terms.htm.
• Continued use of Member's Leslie's Rewards Account constitutes acceptance of any amendments to the Program and rules thereof.

MEMBER PRIVACY POLICY

• Leslie's privacy policy and standards will apply. See Leslie's privacy policy.
• Leslie's is committed to processing and protecting the personal data collected through the Site when you use the Site in compliance with its obligations under applicable privacy laws, laws governing the privacy of your personal data, including, if applicable to you, the California Consumer Privacy Act. Leslie's policy is to retain personal data necessary to provide our services, except that we may retain your personal data for longer periods where reasonably necessary to comply with our legal obligations (including law enforcement requests), meet regulatory requirements, resolve disputes, maintain security, prevent fraud and abuse, enforce these Terms, or fulfill your request to "unsubscribe" from further messages from us. This policy applies to personal data that you or others provided to Leslie's and personal data generated or inferred from your use of our services. • RELEASE OF LIABILITY OR LIMITED LIABILITY
• Member releases Leslie's Poolmart, Inc., and affiliate entities, and their respective officers, directors, employees and agents from and against any and all liability relating to Member's Leslie's Rewards Membership or this agreement.

GOVERNING LAW AND ARBITRATION

• This Agreement shall be governed by and construed under the substantive laws of the state of Arizona, without reference to conflict-of-laws.
• Leslie's operates the Site from Arizona, U.S.A. These Terms and the transactions they contemplate, including without limitation their interpretation, construction, performance and enforcement shall be governed by the laws of the State of Arizona, U.S.A., including its statutes of limitations, but without reference to conflict or choice of law provisions, as applicable to contracts made and performed entirely within such State. The International Convention on the Sale of Goods, and other international treaties that are not mandatory with respect to contracts made and performed entirely in Arizona shall not apply. Except as otherwise provided herein, the exclusive forum for the resolution of any dispute relating to these Terms shall be in the state and federal courts in Phoenix, Arizona, U.S.A., and each of the parties agrees to personal jurisdiction of such courts with regard to any dispute relating to these Terms, and you agree to service of process on you by e-mail to the address you have submitted on the Site, if any, and by any other means permitted by law.

SEVERABILITY

• If any term, clause or provision of these Terms is held invalid or unenforceable, then that term, clause or provision will be severable from these Terms and will not affect the validity or enforceability of any remaining part of that term, clause or provision, or any other term, clause or provision of these Terms.

MISCELLANEOUS

• These Terms constitute the entire agreement between you and Leslie's relating to your access to and use of the Rewards Program. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without the prior written consent of Leslie's. No waiver of any provision of these Terms will constitute a waiver of such provision in any prior, concurrent or subsequent circ*mstance, and Leslie's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third party beneficiary rights upon any other person or entity.
